Terms of Service

01The agreement

These Terms of Service (the "Terms") are a binding agreement between you and Zen Motherfucker LLC, an Arizona limited liability company doing business as Magik Mirror AI ("Magik Mirror," "we," "us," or "our"). They govern your use of:

• the website at magikmirror.ai and its pages (the "Site");
• The Brand Quizard, our hosted team brand-vision quiz and dashboard, at the address linked from the Site (the "Quizard");
• any Brand Reflection or other consulting deliverable we produce for you with our Brand Reflector system (an "Engagement");

together, the "Services." By using the Site, purchasing the Quizard, or signing a proposal or statement of work with us, you accept these Terms and our Privacy Policy. If you are acting for a company or other organization, you confirm you have authority to bind it, and "you" means that organization.

An Engagement is also governed by its proposal, statement of work, or invoice (an "Order"). If an Order conflicts with these Terms, the Order controls for that Engagement.

02Eligibility and accounts

You must be at least 18 years old and using the Services for business or professional purposes. Consumer-protection laws that cannot be waived still apply to you where they exist.

When you set up a Quizard workspace you agree to give accurate information, keep your sign-in credentials confidential, and tell us promptly if you suspect unauthorized access. You are responsible for activity in your workspace, including teammates you invite. Invite only people you have the right to invite, and make sure they know their answers will be visible to the workspace owner.

03The Brand Quizard

The Quizard lets a team answer the same set of brand questions and see where they align and diverge on a private dashboard. Access is sold per brand workspace for the term stated at checkout — currently one year of full access for a one-time payment. The price, term, and any renewal terms are those shown at checkout when you purchase.

We may add, change, or retire questions, features, and integrations over time, and we may perform maintenance that briefly interrupts availability. We will use reasonable efforts to keep the Quizard available and to give notice of planned downtime that is likely to affect you.

The Quizard is a reflection tool. Alignment scores, divergence flags, and any generated summaries are informational and are not a substitute for professional advice or your own judgment.

04Brand Reflection engagements

Scope and process

Each Engagement is defined by its Order: the deliverables, timeline, fees, and any assumptions. Our concierge Brand Reflections run your brand through the multi-model Brand Reflector system and a human consultant's review; Fully Local engagements run the AI stages on models we operate ourselves so your materials do not leave our infrastructure for AI processing.

Your part

Good reflections need good input. You agree to provide the materials, access, and feedback we reasonably request, to designate a decision-maker who can approve deliverables, and to respond within the timeframes in the Order. Delays on your side may extend our timeline correspondingly.

Acceptance and revisions

Unless the Order says otherwise, each deliverable includes one round of reasonable revisions requested within 14 days of delivery. A deliverable is accepted when you approve it in writing, when the revision window passes without a written request, or when you use it publicly — whichever comes first. Work beyond the Order's scope is quoted separately.

05Fees, payment, and refunds

Payment

Quizard purchases are paid in full at checkout through Stripe. Engagement fees are due as set out in the Order; unless stated otherwise, invoices are payable within 30 days. Fees are stated in U.S. dollars and exclude any applicable sales, use, VAT, or similar taxes, which are your responsibility unless you provide a valid exemption certificate. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and we may pause work or suspend access until the account is current.

Refunds

Quizard. Because access is granted immediately, Quizard fees are non-refundable once a workspace has been created, except where required by applicable law or where we agree otherwise in writing. If you purchased by mistake and have not created a workspace, contact us within 7 days and we will refund you.

Engagements. Deposits and milestone payments compensate work already performed and are non-refundable once that work has begun. If you cancel an Engagement, you pay for work completed through the cancellation date plus non-cancellable third-party costs we incurred on your behalf. If we cancel for reasons other than your breach, we will refund any prepaid fees for work not yet performed.

Price changes

We may change prices for future purchases at any time. A price change does not affect a term you have already paid for or an Order you have already signed.

06Intellectual property

Your materials

You own everything you give us — brand concepts, content, assets, questionnaire answers, and feedback ("Your Materials"). You grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, and adapt Your Materials to provide the Services, including submitting them to the AI providers described in our Privacy Policy. You confirm you have the rights needed to grant this license and that Your Materials do not infringe anyone else's rights.

Deliverables

Upon full payment of the fees for an Engagement, we assign to you all right, title, and interest in the final deliverables specific to your brand — the strategy document, positioning, messaging, naming directions, visual direction, and roadmap — and you may use them however you like, without further payment to us.

What we keep

We retain ownership of our methods, frameworks, questionnaires, prompts, templates, software, tools, and any pre-existing or general-purpose material we bring to an Engagement ("Magik Mirror IP"), including improvements to it. To the extent Magik Mirror IP is embedded in a deliverable, you receive a perpetual, non-exclusive license to use it as part of that deliverable. We may reuse de-identified learnings, structures, and approaches from any Engagement in our work for others.

Portfolio and publicity

We would love to show your work, but we will not name you as a client or publish your deliverables without your written permission. You may withdraw permission at any time for future uses.

The Site and the Quizard

The Site, the Quizard, and all content we publish — text, design, code, the Magik Mirror name and rings mark — are owned by us or our licensors and protected by intellectual-property laws. You may not copy, scrape, reverse-engineer, resell, or create derivative works from them except as these Terms allow.

07AI-generated content

Our deliverables are produced with the help of generative AI and then reviewed by human consultants. You acknowledge that:

• Outputs can be imperfect. AI systems may generate content that is inaccurate, incomplete, or that resembles content generated for others. We review for quality and fit, but we cannot guarantee that any output is error-free, unique, or suitable for a particular purpose.
• Names, taglines, and visual directions are not cleared. We do not perform trademark, copyright, or domain-availability searches unless an Order expressly includes them. Before adopting any name, mark, tagline, or design, you are responsible for obtaining appropriate legal clearance.
• Strategy is advice, not a promise of results. Market outcomes depend on execution, timing, and factors outside our control. Nothing we deliver is legal, financial, tax, or investment advice.
• You decide. How you use a deliverable — what you launch, what you claim, what you publish — is your decision and your responsibility.

08Acceptable use

You agree not to:

• use the Services for anything unlawful, fraudulent, deceptive, defamatory, harassing, or infringing;
• upload malware or attempt to probe, disrupt, overload, or gain unauthorized access to the Services or their infrastructure;
• scrape, crawl, or bulk-download content from the Site or the Quizard, or use automated means to access them except through interfaces we provide;
• share Quizard access with people outside the brand workspace you purchased for, or resell, sublicense, or time-share access;
• use the Services to build a competing product or to train a machine-learning model on our frameworks, questionnaires, or outputs;
• remove or obscure any proprietary notices;
• misrepresent your identity or affiliation, or provide materials you do not have the right to share.

We may investigate suspected violations and suspend or terminate access where we reasonably believe these Terms have been breached.

09Confidentiality

During an Engagement each of us may learn non-public information about the other — for you, that includes unreleased brand strategy, business plans, and internal team responses; for us, our methods, prompts, pricing, and tooling ("Confidential Information"). Each of us agrees to use the other's Confidential Information only for the Engagement, to protect it with at least reasonable care, and not to disclose it except to people who need it and are bound by similar obligations, or as required by law (with notice where lawful). These obligations last for three years after the Engagement ends, and indefinitely for trade secrets. Information that is public, already known, independently developed, or lawfully received from someone else is not Confidential Information.

10Third-party services

The Services rely on third parties — Stripe for payment, Vercel and Render for hosting, Resend for email, and AI model providers for processing. Their services are subject to their own terms, and we are not responsible for their acts or omissions. Links to other sites are provided for convenience and do not imply endorsement.

11Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AN ORDER, THE SERVICES AND ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY DELIVERABLE WILL ACHIEVE A PARTICULAR BUSINESS RESULT OR THAT ANY NAME, MARK, OR DESIGN IS AVAILABLE FOR YOUR USE.

Some jurisdictions do not allow the exclusion of certain warranties; in that case the exclusions above apply to the greatest extent permitted.

12Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These limits do not apply to a party's breach of confidentiality, infringement or misappropriation of the other party's intellectual property, indemnification obligations, or liability that cannot be limited by law (including for fraud or willful misconduct).

13Indemnification

You will defend, indemnify, and hold harmless Magik Mirror and its members, managers, employees, and contractors from third-party claims, damages, and costs (including reasonable attorneys' fees) arising from Your Materials, your use of a deliverable after acceptance (including any name, mark, or design you adopt), your breach of these Terms, or your violation of law or third-party rights.

We will defend, indemnify, and hold you harmless from third-party claims that Magik Mirror IP, as delivered by us and used as permitted, infringes that third party's U.S. intellectual-property rights — except to the extent the claim arises from Your Materials, from modifications not made by us, or from a name, mark, or design you adopted without clearance.

The indemnified party will give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, who may not settle in a way that admits fault on behalf of the indemnified party without its consent.

14Suspension and termination

You may stop using the Site at any time and may cancel an Engagement as described in Section 5. We may suspend or terminate your access to the Quizard, or end an Engagement, if you materially breach these Terms and do not cure the breach within 10 days of notice, if you fail to pay when due, or if we reasonably believe continued service would expose us or others to legal risk. On termination, licenses to unpaid deliverables end, amounts owed become immediately due, and the sections of these Terms that by their nature should survive — including intellectual property, confidentiality, payment, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.

If we discontinue the Quizard during a term you have paid for, we will refund the unused portion of your fee on a pro-rata basis.

15Governing law and disputes

These Terms are governed by the laws of the State of Arizona and the federal laws of the United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk first. If a dispute arises, either party may send written notice describing it, and the parties will make a good-faith effort to resolve it through direct discussion within 30 days. Most disagreements can be settled with a conversation, and we would rather have one.

Then the courts. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Pima County, Arizona, and each party consents to their personal jurisdiction and venue — except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information. To the extent permitted by law, each party waives the right to a jury trial and agrees that disputes will be resolved on an individual basis and not as a class or representative action.

16Changes to these Terms

We may revise these Terms from time to time. The "Last updated" date at the top tells you when. For material changes we will give reasonable advance notice — for example, an email to Quizard workspace owners or a notice on the Site. Changes do not apply retroactively to an Order already signed. If you do not agree to a change, stop using the Services before it takes effect; continued use afterward means you accept it.

17General terms

• Entire agreement. These Terms, the Privacy Policy, and any Order are the complete agreement between us about the Services and replace any prior discussions.
• Independent contractor. We are an independent contractor, not your employee, agent, partner, or joint venturer.
• Assignment. You may not assign these Terms or an Order without our written consent, except to a successor of your business. We may assign them to an affiliate or a successor.
• Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party services we rely on, provided it makes reasonable efforts to resume.
• Severability and waiver. If a provision is unenforceable, the rest remains in effect and the provision will be enforced to the maximum extent permitted. A failure to enforce a provision is not a waiver.
• Notices. Notices to us must be sent to info@magikmirror.ai. Notices to you may be sent to the email address associated with your inquiry, workspace, or Order.
• Export and sanctions. You may not use the Services in violation of U.S. export-control or sanctions laws.
